Welcome to Openstash (“Openstash”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of the Openstash website, platform, and related services (the “Services”).

By accessing or using Openstash, you agree to these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction (whichever is higher), to use Openstash.

If you use Openstash on behalf of a business or other entity, you confirm that you have authority to bind that entity to these Terms.

2. Accounts

You may need to create an account to access certain features of the Services.

You agree to:

• provide accurate and current information

• keep your login credentials secure

• promptly update your information if it changes

• be responsible for activity that occurs under your account

We may suspend or restrict accounts where we reasonably suspect fraud, misuse, security issues, or breaches of these Terms.

We may decline onboarding, subscriptions, or payment access at our discretion where risk, compliance, verification, or policy concerns arise.

3. What Openstash Does

Openstash provides software tools that allow creators to publish, market, and sell lawful original digital products such as educational resources, guides, templates, written content, and other creator materials that comply with these Terms and applicable laws.

Openstash is a technology platform. Unless expressly stated otherwise, we are not the seller of creator products or offerings and are not a party to transactions between creators and customers.

Creators are responsible for what they offer, how they describe it, and how they fulfil it.

We do not guarantee the quality, accuracy, legality, usefulness, or results of any creator offering.

4. Payments and Billing

Payments may be processed by third-party payment providers such as Stripe.

By using payment features, you may also be subject to the terms and policies of those providers.

Openstash currently operates on a subscription and/or software-fee model. We do not take a percentage cut of creator sales unless clearly disclosed in writing.

Applicable subscription pricing, billing cycles, and included features will be shown at signup or within your account.

Fees are generally non-refundable except where required by law or where we state otherwise.

We do not store full payment card details.

We may restrict or disable payment features for accounts or transactions that present elevated compliance, fraud, or policy risk.

5. Creator Responsibilities

If you use Openstash as a creator, you agree that:

• you own, control, or have permission to use the content you publish

• your content and offers will not infringe any third-party rights

• your listings will be truthful and not misleading

• you will comply with all laws, including tax, consumer, advertising, and privacy laws that apply to you

• you are responsible for customer support, fulfilment, and any promises made in your offers

• you are responsible for your own tax reporting and obligations unless otherwise required by law

• your content does not contain prohibited material including explicit sexual content, scams, infringing material, or unlawful offers

You grant Openstash a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute your content solely for operating, improving, and promoting the Services.

6. Customer Responsibilities

If you purchase from a creator through Openstash, you agree that:

• purchases are for your own lawful use unless otherwise stated

• you will not copy, redistribute, resell, or exploit purchased content unless permitted

• you will not misuse creator materials or infringe intellectual property rights

• you understand that creator offerings are provided by the creator, not Openstash

Refunds, where available, may depend on the creator’s stated policy, applicable law, and any platform rules we publish.

7. Prohibited Use

You may not use Openstash to:

• break the law or facilitate unlawful activity

• commit fraud or deceive others

• upload infringing, defamatory, hateful, violent, or abusive content

• distribute malware, spam, or harmful code

• interfere with the security or operation of the platform

• scrape, reverse engineer, or misuse the Services without permission

• impersonate another person or misrepresent affiliation

• upload, sell, distribute, or promote sexually explicit content, pornography, adult services, or nudity intended for sexual gratification

• offer illegal, unsafe, deceptive, or fraudulent products or services

• sell or distribute content that infringes copyright, trademarks, privacy rights, or other intellectual property rights

• promote hate speech, harassment, exploitation, or violent extremism

• sell regulated goods or services that require licences, approvals, or legal authorisation without valid permission

• make misleading earnings claims, financial schemes, or deceptive business opportunities

• use the platform in a way that creates excessive payment disputes, chargebacks, or fraud risk

We may investigate and take action where necessary.

8. Intellectual Property

Openstash and all related branding, software, design, and platform materials (excluding user content) are owned by us or our licensors and protected by law.

Nothing in these Terms transfers ownership of our intellectual property to you.

Creators retain ownership of the content they create, subject to the licence granted in these Terms.

9. Suspension and Termination

You may stop using Openstash at any time.

We may review accounts, listings, and content for compliance purposes. We may remove content, restrict features, request additional verification, or suspend accounts where we believe there is policy, legal, fraud, or reputational risk.

We may suspend, limit, or terminate access to the Services, or remove content, where we reasonably believe it is necessary for security, legal compliance, operational reasons, or breaches of these Terms.

Termination does not affect rights or obligations that arose before termination.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we do not guarantee that the Services will be uninterrupted, secure, error-free, or suitable for every purpose.

We are not responsible for creator content, customer conduct, third-party services, or outcomes resulting from use of the platform.

Nothing in these Terms excludes rights that cannot be excluded under applicable consumer law.

11. Limitation of Liability

To the maximum extent permitted by law, Openstash will not be liable for any indirect, incidental, special, consequential, or loss of profits damages arising from or related to your use of the Services.

Where liability cannot be excluded, our liability will be limited to the minimum amount permitted by law.

12. Indemnity

You agree to indemnify and hold harmless Openstash, its affiliates, officers, directors, and service providers from claims, losses, liabilities, and expenses arising from:

• your use of the Services

• your content or offers

• your breach of these Terms

• your violation of any law or third-party rights

13. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the website, app, or by email where appropriate.

Your continued use of Openstash after updated Terms take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia, unless another law is required to apply.

Any disputes will be subject to the courts of New South Wales, unless applicable law provides otherwise.
